We tried to make this readable. It’s still legal stuff, but we promise it’s as human as we could make it while still protecting everyone involved.

1. The Basics

1.1 Who We Are

ToolSalsa is operated by Beldene Limited, an Ontario corporation, with operations through Beldene Solutions LLC (Wyoming). When we say “ToolSalsa,” “we,” “us,” or “our,” we mean both entities.

Our platform connects software product creators (“Founders”) with potential buyers (“Buyers”). That’s it. We’re a listing platform, not a marketplace.

1.2 Your Agreement

By using ToolSalsa.com (the “Platform”), you agree to these Terms. If you don’t agree, please don’t use our Platform.

We can update these Terms. If we make major changes, we’ll let you know via email or a notice on the Platform. Continuing to use the Platform after changes means you accept the new Terms.

1.3 Who Can Use This

You must be:

  • At least 18 years old
  • Legally able to enter contracts
  • Not prohibited from using the Platform under applicable law

If you’re using this on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. For Founders (Sellers)

2.1 Listing Your Product

When you submit a product listing:

  • You pay a one-time listing fee based on campaign duration (1, 3, or 6 months)
  • Your listing is active for the purchased duration and automatically expires at the end
  • We review all listings and can reject any listing that doesn’t meet our standards
  • You can run multiple campaigns for the same product (each is a separate listing)

2.2 What You Promise

By listing a product, you represent and warrant that:

  • You own the product or have rights to sell/license it
  • Your product description is accurate and not misleading
  • Your product doesn’t violate any laws, regulations, or third-party rights
  • Your product doesn’t contain malware, viruses, or harmful code
  • You’ll honor the pricing and terms you advertise
  • You’re responsible for all customer support, refunds, and fulfillment
  • You comply with all applicable privacy laws and data protection requirements

2.3 What We Can Do

We reserve the right to:

  • Reject any listing for any reason
  • Remove listings that violate these Terms
  • Remove listings if we receive credible complaints
  • Modify listing descriptions for clarity (with your approval)
  • Feature or promote certain listings at our discretion

2.4 Listing Fees and Refunds

Listing Fees:

  • 1 Month: $19.99 USD
  • 3 Months: $49.99 USD
  • 6 Months: $99.99 USD

(Promotional pricing until June 30, 2026. Subject to change.)

Refund Policy:

  • If we reject your listing: Full refund
  • Once your listing goes live: No refunds (your campaign is already running)
  • We don’t provide prorated refunds for early removal requests

2.5 Commission Structure

Let’s be crystal clear: We take 0% commission on your sales. Zero.

You keep 100% of all revenue from sales made through our Platform. We never touch your transactions, never take a cut, and never insert ourselves between you and your buyers.

2.6 Your Responsibilities

You are solely responsible for:

  • All transactions with your buyers
  • Product delivery and access
  • Customer support
  • Refunds and disputes
  • Tax obligations
  • Legal compliance

ToolSalsa is not a party to any transaction between you and buyers. We’re just the listing platform.

3. For Buyers

3.1 How It Works

ToolSalsa is a directory/listing platform. When you click on a product:

  • You’re directed to the Founder’s website or purchase page
  • All transactions happen directly between you and the Founder
  • ToolSalsa doesn’t process payments or handle fulfillment
  • ToolSalsa doesn’t provide the products or services listed

3.2 No Warranties from Us

We curate and review listings, but:

  • We don’t endorse or guarantee any product
  • We’re not responsible for product quality, functionality, or support
  • We don’t guarantee availability or pricing
  • We can’t force Founders to honor their commitments

Your relationship is with the Founder, not with ToolSalsa.

3.3 Your Responsibilities

You are responsible for:

  • Evaluating products before purchasing
  • Reading product terms and conditions
  • Resolving disputes directly with Founders
  • Understanding refund policies

3.4 Disputes

If you have issues with a product:

  1. First: Contact the Founder directly (they’re responsible for support)
  2. Second: If unresolved, contact us at hello@toolsalsa.com
  3. Third: We’ll try to help facilitate, but we can’t force resolutions

We may remove listings if we receive credible evidence of fraud or misrepresentation.

4. Intellectual Property

4.1 Our Content

The ToolSalsa Platform, including design, code, logos, and content (excluding user-submitted listings), is owned by ToolSalsa and protected by copyright, trademark, and other intellectual property laws.

You can’t:

  • Copy, modify, or distribute our Platform
  • Use our name or branding without permission
  • Scrape or data-mine our listings
  • Reverse engineer our Platform

4.2 Your Content

When you submit a listing, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Display your product information on our Platform
  • Use your product name and logo in our listings
  • Share your listing on social media and marketing materials
  • Create thumbnails and excerpts for directory purposes

You retain all ownership of your intellectual property.

4.3 Copyright Complaints (DMCA)

If you believe content on our Platform infringes your copyright, email us at hello@toolsalsa.com with:

  • Description of the copyrighted work
  • URL of the allegedly infringing content
  • Your contact information
  • Statement that you have a good faith belief it’s unauthorized
  • Statement that your notice is accurate
  • Your signature

We’ll investigate and take appropriate action.

5. Prohibited Activities

You may not:

  • List fraudulent, illegal, or harmful products
  • Misrepresent products or pricing
  • Spam or abuse the Platform
  • Violate any laws or regulations
  • Infringe on others’ intellectual property
  • Use the Platform to phish, scam, or defraud
  • Attempt to circumvent our systems
  • Harass other users
  • Upload malware or harmful code

Violation may result in immediate removal and potential legal action.

6. Disclaimers and Limitations

6.1 No Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Platform will be error-free or uninterrupted
  • Warranties regarding product quality or Founder reliability
  • Warranties that listings are accurate or up-to-date

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TOOLSALSA, ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or goodwill
  • Damages arising from your use of the Platform
  • Damages related to products purchased through listings
  • Disputes between Founders and Buyers

OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 USD, WHICHEVER IS GREATER).

6.3 Indemnification

You agree to indemnify and hold ToolSalsa harmless from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your listings or products
  • Your violation of these Terms
  • Your violation of any laws or third-party rights

7. Dispute Resolution

7.1 Governing Law

For Canadian users: These Terms are governed by the laws of Ontario, Canada.

For US users: These Terms are governed by the laws of Wyoming, USA.

7.2 Disputes

If you have a dispute with us:

  1. Contact us first: Email hello@toolsalsa.com. Most issues can be resolved through conversation.
  2. Informal resolution: We’ll work with you in good faith to resolve the issue within 30 days.
  3. Arbitration (US users): If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except for small claims court matters or injunctive relief.
  4. Court (Canadian users): Disputes may be brought in the courts of Ontario, Canada.

7.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

8. Miscellaneous

8.1 Changes to Terms

We may update these Terms. Material changes will be announced via email or Platform notice. Continued use after changes constitutes acceptance.

8.2 Changes to Platform

We may modify, suspend, or discontinue the Platform at any time without liability.

8.3 Termination

We can terminate or suspend your access for:

  • Violation of these Terms
  • Fraudulent or harmful behavior
  • Legal requirements
  • Any reason, at our discretion

You can stop using the Platform anytime.

8.4 Entire Agreement

These Terms constitute the entire agreement between you and ToolSalsa regarding the Platform.

8.5 Severability

If any provision is found unenforceable, the rest remains in effect.

8.6 No Waiver

Our failure to enforce a provision doesn’t waive our right to do so later.

8.7 Assignment

You can’t transfer your rights under these Terms. We can assign these Terms to a successor or affiliate.
